WAIVER OF LIABILITY

EXIGENT DEFENSE

This Waiver of Liability and Image Release (“Agreement”) is entered into between the undersigned (“Participant”) and Exigent Defense, a Kentucky limited liability company, including its owners, officers, directors, employees, agents, representatives, affiliates, successors, and assigns (collectively, “Exigent”).

  1. Assumption of Risk
    Participant acknowledges that the use of firearms and firearm suppressors, including participation in live fire demonstrations, testing and evaluation of Exigent suppressor products, or other range activities, involves inherent and significant risks of injury, disability, or death. Participant assumes full responsibility for any risk of injury, loss, or damage that may result from the use of Exigent suppressor products or participation in any Exigent-sponsored activities.
  2. Release and Waiver of Liability
    To the fullest extent permitted by law, Participant hereby waives, releases, and discharges Exigent from any and all claims, demands, causes of action, damages, losses, or liabilities (including attorney’s fees and court costs), whether known or unknown, arising out of or in any way related to:
      a. Use or misuse of Exigentk products;
      b. Participation in any demonstrations, testing and evaluation, training sessions, or range events;
      c. Negligence (except gross negligence or willful misconduct) on the part of Exigent or its representatives.

Participant agrees not to sue or assert any claims against Exigent for any injuries or damages sustained, including but not limited to personal injury, wrongful death, property damage, or economic loss.

If a Exigent representative is not present for any Testing and Evaluation or demonstration of Exigent products, the individual or entity in possession or control of the Exigent products assumes full responsibility and liability for the safety and conduct of all secondary participants, observers, or third parties involved in such activities.

  1. Indemnification
    Participant agrees to indemnify, defend, and hold harmless Exigent from any and all claims, damages, or liabilities arising out of Participant’s actions, use of Exigent products, or participation in any Exigent activity.
  2. Compliance with Laws
    Participant affirms they are legally permitted to possess and use firearm suppressors and will comply with all applicable federal, state, and local laws during all demonstrations and activities.
  3. Image and Likeness Release
    Participant grants Exigent the unrestricted, royalty-free right to use, reproduce, display, and distribute any photographs, video recordings, or other media that include their image, likeness, or voice in connection with Exigent’s promotional, marketing, and educational materials. This release applies to all current and future media formats and includes the right to edit or modify such content. Participant waives any right to inspect or approve the finished product or the use to which it may be applied and waives any claims to royalties or other compensation.
  4. Binding Agreement
    This Agreement shall be binding upon the Participant and their heirs, legal representatives, and assigns. If any provision is found unenforceable, the remainder shall remain in full force and effect.
  5. Governing Law and Venue
    This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky. The parties agree that any dispute arising under or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located in Fayette County, Kentucky.

Participant Acknowledgment:
I have read and understood this Agreement. I am voluntarily signing it, intending to be legally bound. I understand I am giving up substantial legal rights.
